By-Laws
Summers County Republican Executive Committee

Article 1
Name 

The name of this organization shall be the Summers County Republican Executive Committee. 

Article II
Purpose

The purpose of the Summers County Republican Executive Committee shall be to promote enthusiasm, dedication, and harmony in the Republican Party, to support the efforts of the State and National parties, and elect qualified Republican nominees. 

Article III
Membership

The membership shall consist of all elected and appointed members (who have been appointed to fill the vacancy of an elected member) from the Districts in the County of Summers, as provided by the West Virginia Code.  (Voting Members)  The Committee may also be made up of Auxiliary Members.  (Non-voting)

Section I.  Advisory Assistants.  The elected Committee members in each District may nominate an advisory assistant for their District, to be approved by the Committee by secret ballot.

Section II.  Auxiliary Members.  The elected or appointed members of the Committee may permit any registered Republican of the County of Summers to become an auxiliary member by simple request on the part of the registered Republican.

Section III.  If any elected or appointed member shall fail to attend three consecutive meetings without reasonable or just cause, or without being represented by proxy, the chairman with the approval of the Committee will remove that member  and the vacancy filled in accordance with Article IV so that the Committee shall be assured of the fullest possible attendance at each meeting.

Article IV
Vacancies

Vacancies shall be filled by the majority vote when a quorum of elected and appointed members is present and shall be by secret ballot.  The vacancy is then filled for the unexpired term, as provided by the West Virginia Code.

Article V
Officers

The officers of the Summers County Republican Executive Committee shall consist of a Chairman, First Vice-Chairman, Second Vice-Chairman, Recording Secretary, Corresponding Secretary, and Treasurer.

Section I.  Term of Officers.  Upon the election of the new Executive Committee, the Committee shall convene on the call of the Chairman of the outgoing Committee, and proceed to elect the in-coming officers specified above, by secret ballot as provided by the West Virginia Code.  The term for these officers will be four years.

Section II.  Voting on Officers.  Only members elected to the Executive Committee from the Districts in Summers County and the members appointed by the committee to vacancies in the Districts may vote on officers.

   The 2nd Vice Chairman
   The Recording Secretary
   The Corresponding Secretary
   The Treasurer
   The four members of the Bluestone District
   The four members of the Greenbrier District
   The four members of the New River District

Article VI
Meeting Dates and Time

Monthly meeting dates and times of the Summers County Republican Executive Committee shall be set by a majority vote of the Committee.  The Committee may at its majority vote option, delete any monthly meeting.  Special meetings shall be called as needed by the Chairman, or by request of one-fourth of the entire membership of the Committee.  Such requests shall be made to the Corresponding Secretary.  The Secretary, upon receipt of such requests, shall call a meeting within ten (10) days of the receipt of such request. 

Article VII
Voting

 The method of voting shall be decided by the members present, except as described in Article VI above, unless a roll call vote is requested by any member.  The Chair will not vote except to break a tie.  The majority vote cast shall decide any issue not otherwise provided for in these By-laws.  On all issues brought before the Executive Committee, each member shall be entitled to one vote, unless otherwise provided for in these By-laws (i.e. by proxy).

 Section I.  Quorum.  The number of Committee members that constitute a quorum to conduct any business shall be a simple majority of the elected and appointed membership except in the election of officers, the quorum shall be a simple majority of the above membership.

 Section II.  Issues affecting a certain District only.  Issues affecting a certain District only shall be decided by the Committee members in that certain district.  In the event that the members of that certain District cannot agree, the Chairman of the Committee may cast the deciding vote, on the issue, or may be referred to the Committee.  In case of a vacancy in a district, the remaining Committee members of that District may nominate a candidate for the vacancy and the Committee must vote on this single nominee before any further action may be considered to fill this vacancy.

 Section III.  Auxiliary  non-voting Committee Members.  Any Republican wishing to become an active member of the Executive Committee may do so by requesting membership from the elected or appointed members of the Committee.  It will be understood that at no time will the auxiliary member be permitted to vote on an issue within the Committee.  Voting is only permitted by the elected or appointed (to an elected vacancy) member of the three districts of the County.

 Section IV.  Proxies.  Proxies may be used for both electing officers or conducting regular business.

 Article VIII
Debate

Debate on any issue shall be limited to ten minutes for each side and three minutes for rebuttal from each side unless otherwise directed by majority vote of the Executive Committee.  Equal time will be provided for rebuttal.

Article IX
Amendments and Distribution

Section I.  These By-Laws may be amended by a majority vote of the Committee, provided all members are notified in regard to the proposed amendment by mail, not less that ten (10) days prior to the date such voting is to take place.

Section II.  Newly elected or appointed members of this Committee shall be given a copy of the By-Laws.

Section III.  When any amendment is adopted, a corrected and dated copy shall be distributed to all members of the executive committee.  Additional copies may be distributed at the discretion of the Chairman or the Secretaries.
